Notice of Special General Meeting

To be held on 25 July 2022

Notice is hereby given that a Special General Meeting of the members of the above-named Club will be held in the Long Room of the Clubhouse on 25 July 2022 at 7 pm.

AGENDA

1.                   Apologies for absence

2.                 Consideration of and, if thought fit, passing the proposal to delete within the Articles of Association:

31.2.3        to appoint the Club’s auditors;

And replace it with:

31.2.3        to appoint the Club’s Independent Examiner. An independent auditor must be appointed where:

31.2.3.1           the company is no longer exempt from audit under the Companies Act 2006 or;

31.2.3.2           where the members have required the company to obtain an audit for the year in question in accordance with section 476 of the Companies Act 2006.

And, further, to add within Definitions and Interpretation the existing Article 50.1

Independent Examination is to include a review of the company's accounts prepared under the Companies Act 2006 and a comparison of the accounts with the accounting records.
